Brinckle, Doctors of Medicine, now associated to- gether under the name, style, and title of '• The Medico- Chirurgical College of Philadelphia," be hereby, them- selves and successors, created a body politic and corporate, in deed and in laAV, by the name, style and title aforesaid; and by the same name they shall have perpetual succession and all and singular the privileges, immunities, and fran- chises incident to a corporation ; and shall be capable of taking and holding to them and their successors, in feu simple or for any lesser estate, as much lands, tenements, and hereditaments, and other real and personal estate and property, as shall be needful and necessary to effect all and singular the objects, interests, and purposes of their institu- tion and association, which said objects, interests, and pur- poses are now defined in their printed Constitution in the words following, to wit:—" The dissemination of medical knowledge, the defence of the rights, and the preservation of the repute and dignity of the medical profession;" and of suing and being sued, and of doing and performing all and every other act or acts, thing or things, which a body politic or corporate may or can lawfully do or perform. Sec. 2. That the said corporation shall have power to grant Diplomas of Fellowship, Honorary Membership, Senior Membership, and Junior Membership. But this grant shall not be construed into the grant of any power to confer the degree of Bachelor of Medicine, or Doctor of Medicine; and that the said corporation shall have the full power to enact and enforce such Constitution and By- laws as they shall deem proper for its government, and for the better carrying out and effecting the objects, interests, and purposes hereintofore recited, and to make, use, and have, a common seal, and the same to break, alter, and renew, at pleasure ; and shall have power to elect such offi- cers and at such times as they may deem proper. Provided, That the Constitution, By-Laws, Ordinances, and all acts of said corporation shall not be contrary to this Charter, nor to the Constitution or Laws of the United States, or of this Commonwealth. CONSTITUTION. ARTICLE I. TITLE AND OBJECTS. The Association shall be stvled and entitled "THE MEDICO-CHIRURGICAL COLLEGE OF PHILADEL- PHIA," and the objects of its Constitution are declared to be the dissemination of medical knowledge, the defence of the rights, and the preservation of the repute and dignity of the medical profession. ARTICLE II. OF MEMBERS AND THEIR QUALIFICATIONS. Sec. 1. This College shall be composed of Senior and Junior Members, the former of whom shall be divided into " Fellows" and " Associates." Sec. 2. Any gentleman of good standing, upon whom has been conferred the degree of M. D., by any respectable Medical School, may be elected to Senior membership. _ Any gentleman who has" made any important improvement in the practice of Medicine, or in Surgery, (which is hereby de- clared to be included under the same term,) or who has con- tributed any useful or original work, in any department of Medical Literature, may be elected an Honorary Senior mem- ber ; and any gentleman who is engaged in the study of Medicine, under the direction and instruction of a respect- able practitioner of Medicine, may be elected a Junior member. Sec. 3. All persons who were Senior members of this College, at the time of its corporation by the Legislature of the State of Pennsylvania, or may have been since elected, and who reside in the United States, shall be deemed and held to be " Fellows" thereof; and all those who may have been, or who shall be, elected since the date of that incorpo- ration, and who reside elsewhere than in the United States, shall be denominated " Associates." Provided, nevertheless, that the conferring of the degree of M. D. upon any Junior member of the College, by any respectable Medical School, shall invest him, ipso facto, with all the rights and privi- 8 leges of a Fellow; and yet further provided, that by the elec- tion of any gentleman "as an Honorary Senior Member of this College, whether he be a resident or non-resident in the United States, he shall be deemed to have become a Fellow, and shall also be exempt from the payment of all dues and fees, otherwise demanded from all members. Sec. 4. The power to vote on all questions, and otherwise to conduct the affairs of the College, shall reside solely with the Senior Members, but a Junior Member may discuss any question presented, offer Essays, or do such other acts of membership as do not involve the directing the affairs or government of the College. Sec. 5. Candidates for membership must be proposed at a Stated Meeting, by at least two members, and may be bal- lotted for at the next stated Meeting; and it is necessary to their election to membership that they shall receive the af- firmative vote of two-thirds of the members present. ARTICLE III. OF THE OFFICERS. Sec. 1. The officers of this College shall consist of a Pre- sident, five Vice Presidents, three of whom shall be Honorary members, and residents out of this State; a Senior Record- ing Secretary, a Junior Recording Secretary, the latter to be chosen from among the Junior members; a Corresponding Secretary, a Treasurer, and two Curators, who shall, in addition to the duties universally incident to such offices as they hold, perform such other duties as may be enjoined by this Constitution, and the By-Laws and Ordinances of the College. Sec. 2. The officers named in the preceding section shall constitute a Board of Publication, with power to select such portions of the transactions of this College as they may deem fit, and cause the same to be published. Sec. 3. There shall also be elected, from among gentlemen learned in the law, a Counsellor, who shall act as legal ad- viser of the College. ^ Sec. 4. At the same time and place, when the usual elec- tion for officers is held, an Orator shall be elected, to deliver a suitable discourse before the College. Sec. 5. Delegates to the National Convention shall be elected at the Stated Meetings in March—one delegate for each and every ten Senior resident members of the College. ^ Sec. 6. The election for officers shall take place upon the Stated meeting of March ; it shall be by printed or written 9 tickets, and shall be conducted by two tellers, chosen viva voce at the stated meeting last previous to the night of the election. The polls shall be opened at 4 o'clock in the after- noon, and continue open until 6 o'clock of the same after- noon, or so long thereafter as there are qualified members offering to vote. All Fellows of the College who shall have paid over all dues up to the date of the election, shall be entitled to vote at the same election. ARTICLE IV. OP ANNUAL DUES AND DIPLOMA FEE. Sec. 1. Each member shall pay, on being admitted to mem- bership, the sum of two dollars, and shall annually there- after pay one dollar in advance to the College. Sec 2. Each associate or Fellow shall receive, on demand, a Diploma of Associationship, or Fellowship, properly signed and sealed by the seal of the College, for which he shall pay the sum of twcrdollars. ARTICLE V. DUTIES OF THE TREASURER. Sec. 1. No money belonging to the College shall be paid over by the Treasurer, unless npon the receipt of an order signed by the President and countersigned by the Senior Recording Secretary, and no such order shall be signed by those officers, unless in consequence of an ordinance of ap- propriation previously made at a meeting of the College. ARTICLE VL Sec. 1. Any member who shall be deemed, in the judg- ment of this College, to be unfit for fellowship, either in consequence of unprofessional action or from having adopted a course of conduct calculated to throw the College into dis- repute, may be cited to appear at a following meeting, and show cause why he should not be expelled; and if at the following meeting he refuse to appear, or his defence should not be held sufficient, he may be expelled by a vote of two- thirds of the members present. ARTICLE VIL Sec. 1. This Constitution shall not be altered, amended, or abrogated, except by the vote of two-thirds of the mem- bers present at the Stated Meeting at which such action may be effected; and no alteration, amendment, or abroga- tion shall have effect or virtue unless it shall have been Sroposed in writing by at least two members, at the Stated leeting previous to its adoption. ft BY-LAWS. ARTICLE I. ORDER OF BUSINESS. Sec. 1. The Order of Business at all Stated Meetings shall be as follows: 1. Registry of members present. 2. Reading of minutes of the previous meeting. 3. Introduction of new members. 4. Reports of Committees. 5. Correspondence read. 6. Proposed new members ballotted for. 7. New members proposed. 8. Written communications. 9. Oral communications. 10. Unfinished business. 11. New business. 12. Adjournment. ARTICLE II. Sec. 1. The Stated Meetings of this College shall be held on the first Saturday of each and every month, commencing at 3 o'clock in the afternoon, from the month of March, in- clusive ; and at 4 o'clock in the afternoon from the month of April to the month of September. But the Hall of the College shall always be open to the members, for conversa- tional meetings and discussions, on every Saturday afternoon. Sec. 2. A public anniversary shall be held in the month of October, at such time and place as may be fixed by the Col- lege, at which an Oration shall be delivered by the Orator. Sec. 3. A Special^Meeting shall be called by the President on the written request of six members; but the object or objects to be discussed or affected at the said meeting shall be distinctly set forth in the said request, and in the call of the meeting, and it shall not be lawful to transact any other business at the said meeting than that previously set forth in the call. ARTICLE III 9ec. 1. The College shall be divided into twelve sections, as follow:—Surgery, with Dental Surgery as a sub-section, Anatomy, Obstetrics, Practice of Medicine, Materia Medica, with Pharmacy, as a sub-section, Medical Chemistry, Phy- siology, Medical Jurisprudence, Epidemics and Public Hygiene, Diseases of Women and Children, Pathology, and Medical Literature, Botany, a sub-section. 11 Sec. 2. Each member, on entering the College, shall attach himself to one or other of these sections, to each of which the President shall appoint a Chairman. The said Chairmen shall have power to call the Sections under their charge together, to consider such communications as may be referred to them, and perform other necessary business. Sec. 3. The Chairmen of the several Sections shall report at least once annually, successively in the order in which the sections are above named—that is to say, the Chairman of the Section on Surgery shall report on the first Saturday in January; the Chairman of the Section on Anatomy on the first Saturday in February, and so on, month ly, until the Sections have all reported. ARTICLE IV. Sec. 1. The Treasurer shall enter security, if required, for the proper performance of his duties and the safety of the money committed to his charge, before one of the Judges of some Court of Records in this State, in such amount as may be designated, and by such person as may be approved of by this College. Sec. 2. The Curators shall have charge of the Library and Cabinet, and of all other property of the College not properly pertaining to the official duties of other officers; until it shall be deemed necessary to appoint a salaried Li- brarian and a Custodian; the Curators shall act as such without any compensation. Sec. 3. The Curators and the resident Vice President who shall be first named when elected, shall be, by virtue of their positions, a Committee on Library and Cabinet, with power to solicit and accept donations of books, speci- mens, and objects of science or art, as well as to select and purchase such books or specimens as are necessary, under the direction of the College. Sec. 4. All offices held in this College under the Consti- tution or By-laws thereof, are hereby declared to be places of trust and honor, to which no fee or emolument is attached; but offices of emolument may be created if deemed necessary, by special ordinance. Sec. 1. These By-Laws may be altered, amended, or ab- rogated by two-thirds of the members present: provided the said alteration, amendment, or abrogation has been pro- posed in writing at a previous meeting by four members; and any article of the said By-laws may be suspended during a single meeting by the unanimous consent of the members present.
