Fellows of said Society, greeting: Your application, made in due form, requesting that a Dis- trict or subordinate Medical Society might be instituted, to consist of Fellows of the Massachusetts Medical Society, re- siding in Boston and Chelsea in the County of Suffolk, was duly considered at a Meeting of the Councillors, held at Boston on the twenty-ninth day of May, 1849; and it was thereupon voted that your request should be granted. Be it therefore That, pursuant to an Act of the Legislature of the Commonwealth, entitled " An Act in addition to an Act, entitiled ' An Act to incorporate certain persons by the name of the Massachusetts Medical Soci- ety, ' " authorizing the Councillors of said Society there- unto - a District or subordinate Society, by the name of Suffolk District Medical Society, is hereby established, to consist of those Fellows of the Massachusetts Medical Soci- ety now resident within the District aforesaid, for the purpose of choosing officers, and transacting such other business as they shall deem expedient. In testimony whereof, the President, pursuant to the aforesaid vote of the Councillors, has hereunto subscribed his name, and affixed the seal of the Corporation, at Boston, this twenty-sixth day of July, A.D. 1849. The Suffolk District Medical Society consists of all the members of the Massachusetts Medical Society who reside within the Suffolk District. SECTIONS. II. The Society shall be divided into eight Sections for the purpose of Medical Improvement, and until otherwise ordered at some regular meeting, said Sections shall be as follows: 1. Anatomy and Physiology. 2. Medical Pathology, Clinical Medicine and Hygiene. 3. Obstetrics and Diseases of Women. 4. Chemistry, Pharmacy and Materia Medica. 5. Surgery and Dentistry. 6. Ophthalmology. 7. Psychology. 8. Microscopy. III. Each Section will be expected to bring before the Society, at the meetings for Medical Improvement, any topic connected with its special department which the Section may, by special vote, decide to be of sufficient importance to be presented at a general meeting. Any such communi- 6 cation will take precedence of communications presented by individual members, unless especially ordered otherwise by the meeting. IV. Each Section will be expected to report on any subject referred to it by a vote of the Society. V. The Presiding officer will call for reports when due, at every meeting, immediately after the reading of the Records, in order to afford, if need be, an opportunity for subsequent discussion thereupon. VI. At the second stated meeting of each year, the Presi- dent shall nominate for each Section a Secretary, who shall attend to its formation and preliminary organization, and at every meeting of the Society opportunity shall be given for members to enrol their names in any Section or Sections they may select. VII. Each Secretary shall, as soon as possible, send a report of the organization of his Section to the President of this Society. BY-LAWS. VIII. The amount of taxes annually refunded by the Treasurer of the Massachusetts Medical Society shall be applied to the payment of the current expenses of the Society ; and any excess of expenditures over said amount shall be assessed equally upon all the members. EXPENSES. MEETINGS. IX. There shall be two stated meetings annually. The first, which shall be the Annual Meeting, shall be held on the last Saturday in April of each year; the second shall be held on the last Saturday in October. BY-LAWS. 7 X. Special meetings may be called by the President, or on the written application of seven members. XL Ten members shall constitute a quorum at any meet- ing. XII. Social meetings, and meetings for medical improve- ment, shall be held as frequently as the Society may, from time to time, determine. XIII. Notices of stated and special meetings shall be given by the Secretary, by a printed notice sent to each member. XIV. At the Annual Meeting, there shall be chosen, by ballot, a President, Vice-President, Secretary, Treasurer, Librarian, a Committee on Social Meetings, and two mem- bers, who, together with the foregoing officers, shall act as a Committee of Supervision. At the same meeting shall be chosen five Censors, the Councillors, and a Commissioner of Trials, for the Massachusetts Medical Society for the subsequent year. XV. There shall be chosen annually at the stated meet- ing in October, a Committee of five, who shall prepare a list of candidates for Officers of the Society, a list of Councillors for Suffolk District, five Censors, and a Com- missioner of Trials; and the chairman of said committee shall, on or before the second Wednesday in March, enclose a copy of said lists to the Secretary of the Society, who shall cause printed copies of the same to be distributed at the next Meeting for Medical Improvement. ELECTION OF OFFICERS. XVI. The President, Vice-President, and Librarian, shall THE OFFICERS. 8 perform the duties usually devolving upon such officers, and such other duties as shall be assigned to them. XVII. In case of the absence of the President and Vice- President from any meeting, a chairman shall be chosen to preside at the meeting. BY-LAWS. THE SECRETARY. XVIII. The Secretary shall attend, and keep a record of all the meetings of the Society. He shall keep one book of records of the stated and special meetings, and another book of records of the transactions of the meetings appointed for medical improvement. He shall also have in his custody a copy of the By-Laws of the Massachusetts Medical Socie- ty, for the signature of those becoming members of that Society. XIX. At each stated meeting, he shall announce the names of all who have in any way become members of this Society, and any other changes which may have occurred by removal from this District, since the previous stated meeting. XX. He shall announce the names of the Secretaries of Sections at a meeting of the Society subsequent to their appointment by the President. XXI. He shall act as the official medium of communica- tion between the Society and said Secretaries. SECRETARIES OF SECTIONS. XXII. Each Secretary of a Section shall call meetings of his Section, and keep in a book, provided for the purpose, a record of such meetings. He shall also have a book for the enrolment of names of those members of the Society who BY-LAWS. 9 wish to join the Section-which document shall be open for inspection at every meeting of the Society. XXIII. He shall attend to duties mentioned in articles VI. and VII., and to any others naturally devolving upon him. THE TREASURER. XXIV. The Treasurer shall have the charge of the fiscal concerns of the Society, and shall keep an account of the receipts and expenditures, and present it at the Annual Meeting, when a committee shall be chosen to examine it. XXV. The records and accounts of the Secretary and Treasurer shall be subject to examination by the Society, whenever they judge proper. COMMITTEE OF SUPERVISION. XXVI. The Committee of Supervision shall have a gene- ral superintendence over all the affairs of the Society. XXVII. No discussion or vote touching the character of any member, or involving the expenditure of the funds of the Society, shall be allowed at any other than at a stated or special meeting. No By-Law shall be altered, amended, or repealed, nor any additional By-Law adopted at any meeting, unless the proposed alteration or amendment has first been brought before the Society at a stated meeting, to be acted upon at a subsequent stated meeting. XXVIII. Any of the foregoing By-Laws may be sus- pended, at any stated or special meeting, by a unanimous vote of the members present.
