  The  Middlesex  Medical Society consists of all those
members of the Massachusetts Medical Society  who reside
in Lowell, Billerica, Ashby, Townsend, Pepperell,  Dunsta-
ble, Groton, Shirley, Tyngsboro', Chelmsford, Carlisle, Lit-
tleton, Dractitt, Tewksbury, Concord and Acton.
  This  Society was  formed in 1844 in pursuance of an Act
of the Legislature passed March 1803, authorising the Mas-
sachusetts Medical Society to establish district or subordinate
associations, with power to hold meetings, make by-laws,
and  possess  apparatus,  <fcc,  independent of  the Parent
Society, wherein the communication  of cases and experi-
ments may be  made, and the  diffusion  of knowledge  in
medicine  and surgery may be  encouraged and  promoted.
  The Library of the Society at the  present time contains
about seventy volumes.  The meetings of its  Fellows  are
held in  Lowell, when the physicians in the District belong-
ing to the Society have an  opportunity for the agreeable and
improving interchange of thoughts and opinions on medical
topics;  for the  production and  discussion  of rare  medical
cases ;  for the  exhibition  and inspection  of specimens  of
morbid  anatomy ; and for all those  advantages which  flow
from social intercourse among liberal and  enlightened men.
  Any  physician residing within the district, who wishes to
connect himself with this Society, will become a member of
the same  by uniting  with the State Society.

  At a legal meeting of the Standing Committee of the Middlesex
Medical Society holden in Lowell this day, it was
  Voted, That the Secretary prepare for the press, the By-laws with
a list of the Officers and Members of this Society and cause the
same to be printed, not exceeding four hundred  copies, supplying
each member with three copies.

MANNER OF ELECTION OF FELLOWS AND HONORARY
    MEMBERS OF THE MASS. MEDICAL SOCIETY.
  Nominations of  candidates  for election  as fellows  or
honorary members of the Society, shall be made to the coun-
sellors by one or more of the fellows; but no person resi-
dent within the limits  of any  established district society,
shall be nominated by any one not belonging to that district.
The counsellors shall, at every stated meeting, examine and
act  upon  the list of  nominations, if any such there be.
Every candidate for election as fellow or honorary member,
shall have been on nomination at least three  months  before
he can be ballotted for.—[Sec. 14, By-Laws of Masssachusetts
Medical Society. 
BY-LAWS,
                  SECTION I.
   The  annual  meeting of the Middlesex District
 Medical Society shall be holden in  Lowell on the
 Wednesday preceding the annual meeting of the
 State Society;  fourteen  days notice  being pre-
 viously given by the Secretary in two public papers
 printed in the district.
   Seven Fellows shall constitute a quorum to trans-
 act business.
   At this meeting shall be chosen by ballot, a Pre-
 sident,  a Vice President,  and Secretary; a Trea-
 surer, a Librarian, and  a standing Committee con-
 sisting of three, and one Councillor to every eight
 Fellows within the district.   They  respectively
 shall hold their offices for the term  of one year, or
 until their successors are chosen.
                SECTION II.
   Alter the  President has called the meeting to or-
 der, the Secretary shall read the transactions of the
 previous meeting and report all unfinished business.

                SECTION  III.
   It shall be the duty of the President, or in his
 absence the  Vice President, to preside  at all  the
meetings.

  He shall observe all proper  rules  of decorum,
and see,
  1st.  That no Fellow speaks in  debate  without
first  rising and addressing himself to the President.
  2d.  No Fellow shall  speak a second  time on
one question to the prevention of any Fellow who
may wish to speak.
  3d.  No Fellow  shall   interrupt  another  while
speaking, unless to call him to order or to correct
a mistake.
  4th.  No Fellow shall  nominate more than one
to the same committee, provided the first be chosen.
  5th.  No  vote shall be  reconsidered by  a less
number than was present when it was passedi
  6th.  No  vote for  reconsideration shall be put
without notice in writing having been given  at a
previous  meeting.
  7th.  No  proposition for alteration of By-Laws
shall be acted on unless stated in writing at  a pre-
vious meeting.
  Sth.  Attention will be given to  all  scientific
communications, or any  suggestion  condusive  to
the interest  of Medical Science.

                 SECTION IV.

   There  shall be regular quarterly meetings  holden
in Lowell on the last Wednesdays of August, No-
vember, and February, in each year; to be  holden
at such place as the Presiding Officer shall appoint.
Special  meetings shall  also  be called  on  every
 occasion he may think proper.

                 SECTION V.
  There shall be no office of profit or emolument—
all duties to be gratuitous ;  yet the Society may re-
fund monies actually paid out in the discharge of
the duties required by the Society, and by  special
vote, award a reasonable sum for the extra services
of its members.

                 SECTION VI.
   There shall be annually  chosen  a committee of
three, to be styled a business or standing committee,
who shall examine and report on  the state  of the
library—examine and report the state  of  the finan-
ces—who shall appoint some suitable person to give
the  annual address, and  persons  to  give  public
addresses at any quarterly or special meeting  they
may think proper.
   They shall take cognisance of any or  all  immo-
ralities, or any breach  of the rules and regulations-
of this  Society.
   They shall direct the Secretary in  such corres-
pondence as they may consider expedient.  They
shall examine all communications, and select  such
as are proper for publication, or to be read before
the society.  They shall approve  all bills against
the Society previous to the payment of the same.

                 SECTION VII.
   The  Secretary shall  have  charge of all  the
Records and Laws of  the Society.  He shall  read
at the meetings of the  Fellows  all  communications
from the Standing  Committee ;  he  shall notify

absent members of their election ;  he shall answer
all  communications  under the  direction of  the
Standing Committee ; he shall receive  and distri-
bute all publications designed for the  Fellows of
the Society.

               SECTION VIII.
  The Treasurer  shall demand  and  receive  all
monies due the Society, together with all bequests
and donations.  lie shall keep an accurate account
of all receipts  and expenditures,  and his  account
shall be annually audited by the Standing Commit-
tee, to be by them laid before the  Society  at their
annual meeting.
  He shall pay out no monies but by the order of
the Standing Committee.

                SECTION  IX.
  The Librarian  shall  have in his custody  and
charge, the Books, Museum, Instruments and  Ap-
paratus of  the Society.
  He shall keep an accurate register of, and arrange
them in a  proper manner, and shall make such dis-
posal  of them  as the Society shall  from time to
time direct.
  He shall make an  annual report to the Standing
Committee, who at  the annual meeting shall lay
the same before the  Society,  with such remarks as
they shall think proper.
   He  shall carefully record all donations to the
Society made in his  department.
  He shall keep a record of the delivery and receipt
of books, with the dates of the same.

                  SECTION X.
    1st.  No person shall be allowed to have or take
  out of the Library more than two books at one time.
    2d.   No book shall be kept out  of the Library
  longer  than  two months, under a  penalty of ten
  cents for each week longer than that time.
    3d.   Every book shall be returned into the  Li-
  brary at the time of the  annual meeting under  a
  penalty of fifty cents.
    4th.  When a book is  lost or  damaged it shall
  be replaced or paid for to  the satisfaction of  the
  Librarian or the Standing Committee.
   5th.  At each quarterly  meeting the Librarian
  shall report the amount of  the fines due, and  the
  names of persons who are delinquent.
   6th.  Immediately after each quarterly meeting,
 unless otherwise ordered by a vote of the Society,
 the Librarian shall notify  by mail, each person
 delinquent the amount of fines due from him.
   7th.   No person  who is reported delinquent shall
 be allowed to  take out any book from the Library
 until his fines  are paid, and the book  or books upon
 which the  fines have  occurred shall have been
 returned.
   8th.  Periodical works, which come in a pam-
 phlet form,  shall be delayed in the  Library until
 taken away to be bound, except in the case of the
 binding being  delayed in consequence of  a volume
 not being completed, in  which case the incomplete
 volume may be taken out.
  Oth.  The Librarian shall attend to all purchases
and importations of books, and place the  same  in

 the Library immediately  on their reception,  and
 the Treasurer shall be authorized  to  pay all bills
 for the expenses of the Library after they are ap-
 proved by the  Standing Committee.
   10th.   All books shall have affixed the name of
 the Society ; and if a  donation, the name of the
 donor, and no book shall  be taken out until thus
 prepared.
  llth.   The  Librarian shall, ex officio, be allow-
 ed to incur any reasonable  expense  for the care and
 cleansing of the room and  book-shelves, and for
 the binding and repairing the books.
  12th.   No person shall  be allowed  to  take  any
 book from the Library, unless in the  presence of
 the Librarian or some person by him deputed, and
 for violating the rule ho shall be subjected to the
same penalty for each volume as if he had retained
it beyond the time allowed by the Library  rules.

                SECTION  XI.
  The Standing Committee shall annually  appoint
some suitable  person to give the annual address.
A copy of every such address shall be deposited
 with the  Secretary to  be  kept for  the use of the
Society.
                SECTION XII.
  It shall be the duty of the  Secretary to call spe-
cial meetings whenever so directed by the Presi-
dent, or whenever seven members shall request him
 so to do by  a  written petition.   In either case he
 shall notify all the Fellows of the Society, either by
 written or printed notices  to  each, one week pre-
 vious to the  day  of meeting.

                SECTION  XIII.
   If any Fellow of this Society becomes acquaint-
ed with the conduct of another  member which he
considers a breach of the rules  and regulations of
this Society, or the Parent Society, of which this is
a  branch, it shall be his duty to acquaint the Stand-
ing Committee of the  same, and they shall enquire
into, and report upon  the same to the Society as
they may deem expedient.
               SECTION XIV.
   All members of this Society shall be held amen-
able to this Society for any infringment of the  By-
Laws of the Massachusetts Medical Society, or the
rules and  regulations of  this Society.
                SECTION  XV.
   Whenever any member of this Society shall re-
move out of the District, or  retire from practice,
by giving notice thereof to the Secretary,  he  may
be exempted from  the payment of future assess-
ments, but  not otherwise.

             MEETINGS.

  The stated meetings of this Society are four in each
year, viz:  on the Wednesday next preceding the annual
meeting of the Massachusetts Medical Society, the  lust
Wednesdays of Angnst,  November, and  February, to De
holden in  Lowell: which first is the annnal mtetinr for
the eleetion of Officers, &c.
